All content, features, and functionality of our services-including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software-are the exclusive property of Cakiweb Solutions or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Upon full payment, clients receive ownership rights to custom-developed code and assets specifically created for their projects. However, we retain the right to reuse general-purpose code libraries, frameworks, and methodologies developed prior to or independently of the client engagement.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our intellectual property without express written permission.
Payment terms for our services are as follows:
Late Payments: Invoices overdue by more than 15 days may incur a late fee of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for non-payment.
To the maximum extent permitted by applicable law, in no event shall Cakiweb Solutions, its directors, employees, partners, contractors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:
Our total aggregate liability shall not exceed the amount paid by you to us during the twelve (12) months preceding the claim.
Either party may terminate a service agreement under the following conditions:
Written notice of at least 30 days must be provided by either party before termination.
All outstanding payments and deliverables completed prior to termination remain due and payable.
We will provide reasonable assistance in transitioning your data and materials upon request.
We reserve the right to terminate services immediately in case of breach of terms, illegal activities, or non-payment.
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these terms shall be resolved as follows:
Parties will first attempt to resolve the dispute through good-faith negotiations.
If negotiation fails, disputes will be submitted to mediation in Bhubaneswar, Odisha.
Unresolved disputes will be settled by binding arbitration under Indian Arbitration Act.
The exclusive jurisdiction for any legal proceedings shall be the courts of Bhubaneswar, Odisha, India.
